1. About These Terms
These Terms and Conditions govern all quotations, orders and sales of products by CN Power Banks (“we”, “us”, “our”) to any business customer (“you”). By requesting a quotation or placing an order, you accept these Terms.
2. Quotations and Orders
2.1 This website operates in inquiry mode. Reference price ranges shown on product pages are indicative only; firm prices are quoted on request.
2.2 A quotation is valid for 30 days from its date unless stated otherwise.
2.3 An order becomes binding only when we issue a written Proforma Invoice (PI) and you confirm it in writing (email or signed PI), or when we receive your deposit — whichever occurs first.
2.4 Specifications, drawings, samples and packaging artwork approved by you form part of the contract.
3. Prices and Payment
3.1 All prices are in USD unless otherwise agreed, and exclude any taxes, duties and bank charges unless stated.
3.2 Payment terms: 30% T/T deposit on order confirmation, 70% balance against copy of B/L. Other terms (L/C at sight, PayPal for samples) by written agreement.
3.3 Bank charges outside our bank are for your account.
3.4 Prices may be adjusted for orders not confirmed within the quotation validity period, or where raw material costs (lithium cells, ABS/PC housing) move by more than 5%.
4. Minimum Order and Samples
4.1 MOQ: standard catalogue items from 100 pcs per model; custom / OEM items from 500 pcs per model, subject to battery capacity, housing design and printing method.
4.2 Samples are charged at unit price plus freight. The sample cost is refundable against the first mass-production order above USD 2,000.
5. Lead Time and Shipment
5.1 Sample lead time: 5–7 working days after artwork and specification confirmation.
5.2 Mass production lead time: 20–25 working days after deposit and approval of the pre-production sample.
5.3 Shipping terms: EXW, FOB Shenzhen / Guangzhou, CIF, CFR, DAP or DDP as agreed. Our default quotation is FOB Shenzhen.
5.4 Partial shipments and transhipment are permitted unless you object in writing.
5.5 Lead times are estimates. Delay caused by force majeure, port congestion or carrier capacity does not constitute a breach.
6. Quality, Inspection and Standards
6.1 Products are manufactured to the specification confirmed in the PI and comply, where applicable, with CE, RoHS and EN71 requirements. Test reports (SGS or other third-party) are available on request.
6.2 You may appoint a third-party inspection before shipment at your own cost. We will provide reasonable access and samples.
6.3 Where no inspection is requested, our internal QC record and sampling at AQL 2.5 (major) / 4.0 (minor) per ISO 2859-1 shall be the basis of delivery acceptance.
7. Warranty and Claims
7.1 We warrant our products against defects in material and workmanship for 12 months from the date of shipment.
7.2 The warranty excludes damage caused by misuse, unauthorised modification, improper charging, or normal capacity loss of lithium cells over time.
7.3 Claims must be notified in writing within 15 days of receipt for visible defects and 30 days of discovery for hidden defects, with photographs, batch/lot codes and, where requested, returned samples.
7.4 Our liability is limited, at our option, to repair, replacement or credit of the defective goods. This is your exclusive remedy.
8. Intellectual Property and OEM / ODM
8.1 You confirm that you hold the rights to any trademark, logo or artwork you supply for OEM/ODM production, and you indemnify us against third-party claims arising from them.
8.2 Tooling, moulds and artwork developed by us remain our property unless title is expressly transferred in writing and paid for.
8.3 We may show non-confidential products in our catalogue and on this website. We will not disclose your drawings or brand to third parties without your consent.
9. Force Majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, government action, war, strikes, or shortages of power or raw materials.
10. Limitation of Liability
Our total liability arising out of or in connection with the contract shall not exceed the value of the goods giving rise to the claim. We are not liable for indirect, incidental or consequential loss, including loss of profit or production.
11. Governing Law and Disputes
These Terms are governed by the laws of the People’s Republic of China. Disputes shall be submitted to the Shenzhen Court of International Arbitration (SCIA); the award is final and binding. The language of arbitration shall be English.
12. Changes
We may update these Terms at any time. The version in force is the one published on this page at the time of your order.
